These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you,” “your,” “User”) and MCR One Oy, a limited liability company registered in Finland under business ID 3513953-9 (“Linkx.ee,” “we,” “our,” or “us”), concerning your access to and use of the services provided by Linkx.ee via its website located at https://Linkx.ee, including its subdomains, mobile applications, integrations, APIs, and related services (collectively, the “Platform”).

By accessing, registering with, or using the Platform in any capacity, you agree that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Cookie Policy, Community Standards, and any other documents or supplemental terms expressly incorporated herein by reference. These Terms govern both free and paid users and apply globally. You must not use our Platform if you do not accept or understand these Terms.

These Terms are drafted in accordance with international legal frameworks and regional regulatory requirements, including but not limited to the General Data Protection Regulation (Regulation (EU) 2016/679) (“GDPR”), the California Consumer Privacy Act as amended by the California Privacy Rights Act (“CCPA/CPRA”), the Personal Information Protection and Electronic Documents Act (“PIPEDA”) in Canada, and any other national consumer, data, and digital protection laws that may apply based on your jurisdiction.

1. Acceptance of Terms

By accessing, using, or registering for an account on the Linkx.ee Platform, you acknowledge and agree to be bound by these Terms and any documents incorporated by reference, including our Privacy Policy, Cookie Policy, Community Standards, and Data Processing Addendum. These Terms form a legally binding agreement between you and MCR One Oy, regardless of whether you act as an individual, on behalf of an organisation, or in a commercial capacity.

You represent and warrant that you are of legal age in your jurisdiction to enter into these Terms (at least 18 years of age in most countries), and if you are acting on behalf of a business entity, you represent and warrant that you have the authority to bind such entity to these Terms.

If you do not agree with any provision of these Terms, you must immediately cease using the Platform and terminate any existing account(s). Continued use of the Platform following any update or notice of change to the Terms shall constitute acceptance of those changes.

2. Updates and Modifications to Terms

Linkx.ee reserves the right, at its sole discretion, to revise, update, or modify these Terms at any time. Any material changes will be communicated via email (if you have an active account) or by prominently posting a revised version on our Platform with an updated “Last Updated” date.

We will make reasonable efforts to notify Users of material changes at least thirty (30) days prior to the effective date. However, non-material modifications may become effective immediately. Your continued use of the Platform after the effective date of such changes constitutes your acceptance of the revised Terms.

It is your responsibility to review these Terms periodically. If you do not agree to the modified Terms, you must discontinue use of the Platform and cancel your account.

3. Account Eligibility, Registration, and Responsibilities

To access certain features of the Platform, you must register for an account. By registering, you agree to provide current, complete, and accurate information and to keep such information updated at all times. Users must be at least 18 years old (or the age of majority in their jurisdiction, if higher) to register for or use the Platform.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. Linkx.ee shall not be liable for any unauthorised use or access resulting from your failure to secure your account information.

You agree not to assign, resell, or sublicense your access to the Platform to any third party without our prior written consent. Unauthorised use of your account by another party may result in suspension or termination.

You also agree not to use the Platform in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms, or to breach any local, state, federal, or international law or regulation applicable to your use of the Platform.

4. Username and Profile Management

Upon registering for an account, you will be required to select a username. Your username and profile must not violate any laws, infringe upon the rights of any third parties, or mislead others. Prohibited usernames include but are not limited to those impersonating another individual or entity, infringing intellectual property (IP) rights (including trademarks and copyrights), containing hate speech, vulgar language, or content deemed offensive or harmful by Linkx.ee.

We reserve the right, at our sole discretion, to request that you change your username or associated content and, if necessary, to suspend or permanently deactivate your account if your username violates these Terms or any applicable law.

Inactive usernames or profiles may be reclaimed or reassigned by Linkx.ee after 180 days of inactivity. You will be notified by email before such an action is taken.

5. Subscription Plans and Billing

Linkx.ee offers both free and paid subscription plans. By selecting a paid plan, you authorise Linkx.ee and its third-party payment providers to charge your designated payment method for recurring fees, in accordance with your selected billing cycle (monthly or annually). All fees are charged in the currency specified at the time of purchase and are inclusive of applicable VAT/GST, unless otherwise stated.

You may cancel your subscription at any time via the Platform’s billing settings. Upon cancellation, your plan will revert to the free tier at the end of the current billing cycle. Except as required by applicable law, fees paid are non-refundable.

If you subscribed through a third-party app store (e.g., Apple App Store, Google Play), the billing, cancellation, and refund policies of those platforms will apply.

In the event of a payment failure, you will be notified, and your access to premium features may be suspended or downgraded to the free tier. You remain responsible for any unpaid amounts.

6. User Content and Responsibilities

You are solely responsible for the content you upload, share, publish, or otherwise disseminate through your Linkx.ee profile (“User Content”). This includes, but is not limited to, text, images, videos, links, code snippets, product listings, and embedded media. You retain ownership of your User Content, but by submitting it to the Platform, you grant Linkx.ee a worldwide, royalty-free, non-exclusive, transferable license to use, host, store, display, reproduce, publish, adapt, modify, and distribute such content on and through the Platform, including in promotional materials.

You represent and warrant that:

- You own or have obtained all necessary rights, licenses, consents, and permissions to publish and share the User Content.

- Your content does not infringe on any copyright, trademark, privacy, publicity, or other legal rights of any third party.

- Your content is not false, misleading, defamatory, obscene, hateful, or otherwise unlawful under applicable laws.

- Your content does not contain viruses, malware, bots, or any code intended to disrupt or damage the Platform or the devices of others.

- Your content complies with all applicable legal standards, including advertising disclosure laws and consumer protection regulations.

Linkx.ee reserves the right, at its discretion, to remove, disable access to, or modify User Content that violates these Terms, applicable law, or our Community Standards. We may also limit or suspend your account based on violations of this section.

7. Rights We Retain and How We Use Your Content

By uploading or submitting User Content to the Platform, you grant Linkx.ee a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, publicly display, publicly perform, modify, prepare derivative works of, and otherwise exploit such content in connection with the operation, development, promotion, and improvement of the Platform.

This license includes the right for Linkx.ee to promote your content across our marketing channels and in third-party media to highlight our services. You acknowledge that your User Content may be accessible by the public and may be indexed by search engines. We recommend that you do not upload any personal or sensitive information unless it is necessary and you have the appropriate rights to share it.

You also grant us the right to use your name, likeness, photograph, voice, and other personal attributes contained within or linked to your User Content in connection with our use of such content as permitted under these Terms.

You waive any moral rights or similar rights in any jurisdiction to the extent permissible by law.

8. Monetisation and Commercial Features

Linkx.ee may offer eligible Users access to monetisation features, including but not limited to affiliate links, partner programs, donation tools, gated content, and digital storefronts. Eligibility for these features may be subject to geographic restrictions, verification processes (such as Know Your Customer requirements), and adherence to applicable laws and our internal policies.

You acknowledge and agree that:

- You will disclose all material connections in compliance with applicable advertising and affiliate marketing laws.

- You will not use monetisation tools to defraud or mislead consumers.

- You are solely responsible for fulfilling any promises made in exchange for payments or donations (e.g., digital products, gated content, shoutouts).

- You must comply with all tax obligations in your jurisdiction and indemnify Linkx.ee from any failure to do so.

- Commission rates and payment schedules may change and will be clearly disclosed in your dashboard.

- You are solely responsible for third-party affiliate relationships not managed by Linkx.ee.

Failure to comply with these terms may result in immediate suspension or termination of monetisation privileges and forfeiture of unpaid or pending earnings.

9. Suspension and Termination of Accounts

Linkx.ee reserves the right to suspend, restrict, or terminate your access to the Platform at our sole discretion, without prior notice, for any reason, including but not limited to:

- Violation of these Terms, Community Standards, Privacy Policy, or applicable laws.

- Non-payment of subscription fees or fraudulent payment activity.

- Posting or sharing prohibited content or engaging in abusive conduct.

- Inactivity for an extended period (more than 180 days).

We will make reasonable efforts to notify you in advance where appropriate, but we are not obligated to do so in urgent or high-risk situations. If your account is terminated, you lose access to all User Content, analytics, and funds within your account, except for commissions that have already been earned and are eligible for disbursement under these Terms.

Termination of your account does not relieve you of any obligations incurred before termination. We are not responsible for any loss of content, earnings, or reputation resulting from a termination or suspension.

10. Responsibilities Toward Visitors and End Users

If you are using Linkx.ee to promote products, services, events, or content to others through your profile, you are considered a service provider to those individuals (“End Users”). You are solely responsible for how you interact with, collect data from, and fulfil any obligations toward your End Users.

This includes:

- Ensuring that all content, claims, and offers made on your profile are accurate and not deceptive or misleading.

- Complying with applicable consumer protection, digital goods, e-commerce, and disclosure laws in your country and in the country of your End Users.

- Adhering to privacy regulations such as the GDPR, PIPEDA, or CCPA when handling personal data of your End Users.

- Ensuring refund, cancellation, and support policies are clearly communicated where financial transactions occur.

You are prohibited from using the Platform for illegal, harassing, fraudulent, or discriminatory activities involving End Users. Linkx.ee disclaims all responsibility for disputes between you and your End Users. You agree to indemnify and hold Linkx.ee harmless against any claims, losses, or liabilities arising from such relationships.

11. Feedback and Beta Features

We welcome suggestions, comments, or feedback about the Platform and our services. By submitting feedback to Linkx.ee, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and implement your feedback in any manner, without compensation or acknowledgement.

From time to time, we may offer early access to beta or experimental features. These features are offered “as-is” without warranties of any kind and may contain bugs or limitations. We reserve the right to modify, restrict, or discontinue beta access at any time. Participation in beta testing may be subject to additional terms, including confidentiality obligations.

12. Platform Ownership and Intellectual Property Rights

The Platform, including but not limited to its software, layout, architecture, interface, design elements, trademarks, logos, custom code, and underlying technology (collectively, “Linkx.ee Intellectual Property”), is and shall remain the exclusive property of MCR One Oy and its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for personal or commercial use in accordance with these Terms. This license does not convey any rights or ownership in Linkx.ee Intellectual Property.

You agree not to:

- Copy, reproduce, modify, distribute, mirror, frame, or create derivative works of the Platform or any part thereof.

- Disassemble, decompile, reverse engineer, or otherwise attempt to derive the source code of any part of the Platform.

- Use any branding, logo, or marks without prior written authorisation from Linkx.ee.

- Remove or obscure any proprietary notices or legal disclaimers.

Unauthorised use or infringement of Linkx.ee Intellectual Property may result in legal action, account suspension, or permanent banning from the Platform.

13. Fees, Payments, and Taxes

If you purchase a subscription or use services within Linkx.ee that require payment, you agree to pay all fees associated with your selected plan or feature in a timely and lawful manner. Subscription fees are billed in advance, on a recurring basis, and are non-refundable unless otherwise required by law.

You must maintain accurate billing information and a valid payment method at all times. In the event of failed charges or delayed payments, we may suspend your account or downgrade you to a free plan without further notice.

Transaction-based features (such as affiliate commissions, store sales, or payment-locked content) may incur additional fees, which will be deducted from your earnings or added to your monthly invoice. Payment processing services (e.g., Stripe, PayPal, Square) are subject to their own terms, and you are responsible for reviewing and accepting those terms independently.

You are solely responsible for any applicable taxes, including income, VAT, sales tax, or withholding taxes required by the laws of your jurisdiction. Linkx.ee does not provide tax advice and shall not be liable for your compliance with tax laws. We reserve the right to deduct or withhold taxes from payments where required by law or instructed by a competent authority.

14. Data Privacy and User Rights

Linkx.ee processes your personal data in accordance with our Privacy Policy, which forms an integral part of these Terms. We are committed to safeguarding personal data and upholding the rights of users under the General Data Protection Regulation (EU), California Consumer Privacy Act (US), and the Personal Information Protection and Electronic Documents Act (Canada), among others.

As a user, you have the right to access, rectify, erase, or restrict the use of your personal data. You may also object to processing, request data portability, or withdraw consent where applicable. Requests should be submitted in writing via the contact details provided in our Privacy Policy.

If you manage a profile that collects or processes data from third parties (such as visitors, customers, or subscribers), you acknowledge your independent role as a data controller. You are responsible for providing privacy disclosures to your audience, securing consent where required, and complying with applicable data protection laws.

All information derived from use of the Platform, including analytical insights and aggregated metadata, shall remain the property of Linkx.ee.

15. Confidentiality Obligations

During the course of your use of the Platform, you may be exposed to non-public, confidential, or proprietary information relating to Linkx.ee, including but not limited to technical documentation, feature roadmaps, algorithms, user data, and internal communications (“Confidential Information”).

You agree not to disclose, disseminate, or otherwise make available any Confidential Information to any third party without our prior written consent. You also agree to implement reasonable safeguards to protect such information from unauthorised access or use.

This obligation shall survive termination of your account and remain in effect for a period of five (5) years after disclosure or indefinitely with respect to trade secrets, as defined by law.

Exceptions to this duty of confidentiality include disclosures required by court order or governmental authority, provided that you notify Linkx.ee promptly and cooperate with any effort to obtain protective measures.

16. Third-Party Services and Integrations

The Platform may contain links to, integrations with, or facilitate access to third-party websites, services, or content that are not owned or controlled by Linkx.ee. This includes payment processors, affiliate networks, advertising partners, CRM platforms, and analytics providers.

Linkx.ee is not responsible for the practices, terms, or content of any third-party services. Your use of such services is governed by the terms and privacy policies of the respective third parties. We make no warranties or representations regarding such third parties and do not assume liability for their actions, omissions, or your interactions with them.

Where required by law, or at our discretion, we may list such subprocessors and third-party service providers in our Privacy Policy or Trust Centre. You acknowledge that by enabling integrations, you are authorising the transfer and sharing of your data with those providers.

17. Mobile App Terms and Platform Use

The Linkx.ee mobile application ("App") is licensed, not sold, to you. Subject to these Terms, Linkx.ee grants you a limited, revocable, non-exclusive, non-transferable license to download, install, and use the App on a device that you own or control for your personal or commercial use.

You may not distribute the App or make it available over a network for simultaneous use on multiple devices. The App may be subject to automatic updates and upgrades. You agree to accept these updates as part of your continued use of the Platform.

If you downloaded the App from the Apple App Store or Google Play Store, you agree that:

- These Terms are between you and Linkx.ee, not the app store.

- The app store is not responsible for the App, including maintenance, support, or claims related to intellectual property or legal compliance.

- You are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country.

- The app store and its affiliates are third-party beneficiaries to these Terms and may enforce them against you.

You must delete the App upon account closure or if requested due to legal compliance.

18. Open Source Software

Certain components of the Platform may be governed by open source licenses. Where applicable, these components are provided to you under the terms of the open source licenses that accompany them and not these Terms.

Nothing in these Terms limits your rights under, or grants you rights that supersede, the terms of any such open source license. We provide access to license texts, source code (where required), and applicable notices in the Open Source section of our website or application.

You agree to comply with the terms of all open source software licenses, including proper attribution, copyright notices, and license terms, where required. Open source software is provided “as-is,” without warranties or indemnities of any kind from Linkx.ee.

19. Disclaimers and Limitation of Liability

The Platform is provided on an "as-is" and "as-available" basis without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Linkx.ee does not warrant that the Platform will be uninterrupted, secure, error-free, or that any defects or issues will be corrected.

To the fullest extent permitted under applicable law, Linkx.ee disclaims all liability for any loss or damage arising from:

- Your reliance on the Platform or its availability.

- Viruses, hacks, or other harmful components transmitted via the Platform.

- Third-party content, services, or integrations accessed via the Platform.

- Any decision you make based on content or analytics provided by the Platform.

In no event shall Linkx.ee, its affiliates, directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Platform.

Our maximum aggregate liability under these Terms shall not exceed the greater of one hundred Euros (€100) or the total amount paid by you to Linkx.ee in the twelve (12) months preceding the event giving rise to the liability.

20. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Finland and the laws of the European Union (EU), without regard to their conflict of laws principles. Any disputes, claims, or proceedings arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the District Court in Finland.

Where required by local law or regulation, users residing in the United States or Canada may initiate legal proceedings in their local jurisdiction. However, such proceedings shall remain subject to these Terms to the fullest extent permitted by law.

Nothing in this section shall limit your statutory rights under consumer protection or data protection law in your applicable jurisdiction.
